In addition to working with Digitabytes, you agree to these terms:
- Payments, including Cheque/Money Order/Wire Transfer/PayPal Payments, should be made payable to “Digitabytes” We will commence the project promptly upon receiving your acceptance of our proposal, the requested information, and applicable professional fees.
- Digitabytes shall not be liable to the Client or any third party for any damages, including lost profits, business, or savings, arising from the operation or inability to operate the presentation application.
- In case of necessary collection, the Client agrees to pay all legal or third-party involvement fees incurred, as well as late payment penalties and compounded interest of x% per month on the remaining amount due.
- All applicable taxes will be levied as per actual.
- During the performance of services by Digitabytes and for twenty-four (24) months thereafter, neither party shall solicit or induce any employee of the other party to terminate their employment without prior written approval.
- Any additional work not specified in the proposal will be estimated separately or will require an amendment to the proposal.
- The client guarantees that all elements furnished to Digitabytes for inclusion on web pages are owned by the client or that the client has permission from the rightful owner to use each element.
- Digitabytes retains copyrights or ownership to the source code/design of all files produced during the project. After the final payment, the rights and ownership of the source code/design will be transferred to the client.
- This agreement constitutes the sole agreement between Digitabytes and the Client and its owners.
- The client agrees that Digitabytes may use images from the internet if not provided by the client, but the client remains responsible for ensuring the legality of such images.
- If fees are tax deductible at source, the client must provide a TDS certificate at the time of payment.
- If the client terminates the project during development, the initial advance will not be refunded.
- The amount paid in any legal proceeding will not exceed the amount charged from the client.
Terms of Payment: –
The package may be terminated if there are more than three missing payments in a calendar year.
- Fees associated with the monthly maintenance plan are not refundable.
- Only credit card payments are accepted for monthly maintenance package fees.
- On the first of each month, monthly maintenance costs will be charged to the client’s credit card on file.
Termination
- Digitabytes maintains the right to discontinue yearly maintenance at any time by giving the client written notice.
- The client must give us written notice at least one month in advance of the renewal date to terminate the auto-annual renewal.
- The client is responsible for paying the remaining month’s balance if they choose to cancel an ongoing maintenance package.
These terms and conditions are subject to change without notice at Digitabyte’s discretion.
